Terms Of Service

Please read these Terms of Service (“Terms”) carefully before using the Hourglass platform and website at hourglasssaas.com (collectively, the “Service”) operated by Hourglass (“Hourglass,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Hourglass is an operations platform for fractional service firms. The Service includes time tracking, pre-paid block management, custom reporting, project and task management, CRM foundations, and a client portal. Features may be added, modified, or discontinued at any time.

You must create an account to use the Service. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account

You must be at least 18 years old to create an account. Accounts may not be transferred without our written consent.

The Service is offered on a subscription basis at $9 per user per month. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

Free trial:

New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, continued use of the Service requires a paid subscription.

Cancellation:

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Price changes:

We may change our pricing at any time. We will provide at least 30 days’ notice of any price increase before it takes effect for existing subscribers.

Payment processing:

Payments are processed by Stripe. By providing payment information, you agree to Stripe’s terms of service. We do not store full payment card details on our servers.

The Service includes a client portal feature that allows your clients to access data you choose to share with them. Client portal seats are free and unlimited. You are responsible for:

• Determining which data is accessible to portal users
• Ensuring you have the right to share any data you make available through the portal
• The conduct of portal users accessing your account

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malicious code, viruses, or harmful data
• Use the Service to store or transmit content that is unlawful, defamatory, or infringes on third-party rights
• Resell or sublicense the Service without our written consent

You retain ownership of all data you enter into the Service. We do not claim any rights to your data beyond what is necessary to provide the Service.

You grant Hourglass a limited license to store, process, and display your data solely for the purpose of providing the Service to you. We will not use your data for any other purpose without your consent.

Upon account termination or cancellation, we will retain your data for 90 days, during which you may request an export. After 90 days, your data will be deleted from our systems, except where retention is required by law.

The Service, including its design, software, features, and content, is owned by Hourglass and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without prior written permission.

You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code of the Service.

The Service integrates with third-party services, including Stripe for payment processing. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party services.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOURGLASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Hourglass and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if we discontinue the Service.

You may terminate your account at any time by canceling your subscription and contacting us at michael@hourglasssaas.com.

Upon termination, your right to use the Service will immediately cease. Sections 6 through 11 of these Terms will survive termination.

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Saratoga County, New York, and you consent to the personal jurisdiction of such courts.

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
